By accessing or using the Business Base ("Service"), provided by Local Web Pilot ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

The Business Base is a "System-as-a-Service" platform designed to help local small businesses manage their online presence, marketing, and operations. Features include, but are not limited to, Local SEO, Reputation Management, Social Media Marketing, Advertising Intelligence, and AI-assisted communication tools.

The Service is powered in part by Vendasta Technologies Inc. ("Vendasta"). By using the Service, you acknowledge and agree that certain functionalities may be subject to Vendasta's terms and conditions.

3. Accounts and Registration

To access the Service, you must register for an account. You agree to:

  1. Provide accurate, current, and complete information.
  2. Maintain the security of your password and identification.
  3. Notify us immediately of any unauthorized use of your account.
  4. Accept responsibility for all activities that occur under your account.

4. Subscriptions, Fees, and Payment

  • Subscription Terms: The Service is offered on a month-to-month basis with no long-term contracts, unless otherwise specified in a custom agreement.
  • Billing: Fees for your selected plan (e.g., Base, Mid, Pro, AI Pro+) will be billed monthly in advance.
  • Changes: You may upgrade, downgrade, or cancel your subscription at any time through the App. Changes will be reflected in the subsequent billing cycle.
  • Refunds: Services are non-refundable unless otherwise required by law or explicitly stated in a specific offer.

5. User Conduct

You agree not to use the Service to:

  • Violate any local, state, national, or international law.
  • Infringe upon the intellectual property rights of others.
  • Transmit unsolicited or unauthorized advertising ("spam").
  • Interfere with or disrupt the integrity or performance of the Service.

6. Intellectual Property

  • Your Content: You retain ownership of all content you submit to the Service. You grant us a license to use, reproduce, and display your content solely for the purpose of providing the Service.
  • Our Content: The Business Base, including its code, design, and "Local Web Pilot" branding, is the property of Local Web Pilot and its licensors.

7. Third-Party Services

The Service integrates with third-party platforms (e.g., Google, Facebook, Apple Business Connect). We are not responsible for the availability, accuracy, or content of these external services. Your use of third-party services is subject to their respective terms and privacy policies.

8. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

In no event shall Local Web Pilot be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
